Terms of Use
These Terms of Use ("Terms") govern your access to and use of leadwithlistening.com, the Listening Audit, our courses, programs, and related content and services (together, the "Services"), offered by Tindall Avenue Events & Entertainment, LLC, doing business as Lead with Listening ("Lead with Listening," "we," "us," or "our"). Please read them carefully.
1.Acceptance of these Terms
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2.The Services
Lead with Listening provides leadership content, a listening self-assessment (the Listening Audit), digital reports, online courses, coaching, consulting, keynotes, and related programs, all built on the HEARD framework. We may add, change, or discontinue parts of the Services at any time.
3.The Listening Audit
The Listening Audit and any reports are provided for your personal and internal development use. The results are intended as a reflective tool to support your growth and are not a clinical, psychological, or diagnostic instrument, and should not be relied upon as such.
You agree to provide accurate information when taking the audit and not to misuse, copy, resell, or commercially redistribute the audit, its questions, scoring, or reports.
4.Accounts
Some Services, such as courses, require an account (which may be hosted by a third-party provider such as Thinkific). You are responsible for providing accurate information, keeping your login credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.
5.Purchases & pricing
Prices for products, courses, and services are listed at the point of purchase and may change at any time. Payments are processed by our payment processor, Stripe; by purchasing, you authorize us (through Stripe) to charge your selected payment method for the total shown, including any applicable taxes. You are responsible for providing current, complete, and accurate billing information.
6.Refunds
Our refund terms depend on what you purchase:
- The Listening Advantage (course). If the course isn't the right fit, you may request a refund within 14 days of purchase by emailing us, provided you have not completed a substantial portion of the program.
- Digital reports (such as the Premium Listening Audit Report) are delivered immediately and are generally non-refundable once accessed, except where required by law.
- Coaching, cohorts, keynotes, retreats, and consulting are governed by the separate agreement or statement of work for that engagement.
To request a refund, contact us using Section 18.
7.Intellectual property
The Services and all content within them — including the HEARD framework and model, the Listening Audit, the listening archetypes, course materials, text, graphics, and design — are owned by Lead with Listening or its licensors and are protected by intellectual property laws. The Listening Audit™ and The HEARD Model™ are trademarks of Lead with Listening. Nothing in these Terms transfers ownership of any of our intellectual property to you.
8.License to you
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and the content you purchase for your own personal or internal organizational development. You may not:
- copy, reproduce, resell, sublicense, or commercially distribute the Services or their content;
- share course access or login credentials with others, or use one purchase to serve a group unless we have agreed in writing;
- create derivative works from, or attempt to recreate, the audit, framework, or course; or
- remove any copyright, trademark, or other proprietary notices.
9.Acceptable use
You agree not to use the Services to: violate any law; infringe anyone's rights; upload harmful code; scrape, harvest, or use automated means to access the Services without permission; attempt to reverse-engineer or gain unauthorized access to any part of the Services; or interfere with their operation or security.
10.Coaching & professional services
Our content, assessments, coaching, and programs are intended to support professional and leadership development. They are provided for informational and developmental purposes and are not a substitute for professional medical, psychological, legal, or financial advice. We do not guarantee any specific result or outcome from using the Services; outcomes depend on many factors, including your own effort and circumstances.
11.Your submissions
If you send us feedback, ideas, or other materials (for example, through our contact form), you grant us a non-exclusive, royalty-free, worldwide license to use them to operate and improve the Services. You are responsible for the content you submit and represent that you have the right to share it.
12.Third-party services
The Services rely on and may link to third-party platforms (such as Squarespace, ActiveCampaign, Thinkific, and Stripe). Your use of those platforms may be subject to their own terms and policies, and we are not responsible for third-party services we do not control.
13.Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any result will be achieved.
14.Limitation of liability
To the fullest extent permitted by law, Lead with Listening and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services. To the fullest extent permitted by law, our total liability for any claim relating to the Services will not exceed the amount you paid us for the Service giving rise to the claim in the twelve months before the claim.
15.Indemnification
You agree to indemnify and hold harmless Lead with Listening and its owners, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.
16.Governing law
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Services will be resolved in the state or federal courts located in Idaho, and you consent to their jurisdiction.
17.Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect the Services. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
18.Changes & contact
We may update these Terms from time to time. When we do, we will revise the "last updated" date above, and changes take effect when posted. Your continued use of the Services means you accept the updated Terms.
